    Commercial Terms for System Projects

    These terms apply to commercial smart lock, electronic locking, access control, supply-only, sourced, and partner-delivered projects provided through ArdanShield.

    Effective Date: 28 April 2026

    These terms may be updated from time to time. The latest version will always be available on this page.

    ArdanShield provides flexible access solutions, ranging from cost-effective product supply to full commercial-grade partner-delivered systems. The correct solution depends on the property, compliance requirements, budget, installation method, and intended use.

    1. Our Role

    ArdanShield acts as a commercial supplier, sourcing partner, access solution provider, and project coordinator for smart lock, electronic locking, and access control projects.

    Depending on the project, ArdanShield may supply products directly, source products from third-party manufacturers, coordinate approved suppliers, or arrange partner-delivered commercial access control solutions.

    Unless expressly agreed in writing, ArdanShield is not the manufacturer, installer, commissioning engineer, electrical contractor, fire safety consultant, building control adviser, or technical certifier.

    2. Two Types of Commercial Solution

    A. Product Supply Solutions

    Where ArdanShield supplies smart locks or access products directly, these products are sourced from third-party manufacturers and supplied by ArdanShield as hardware solutions.

    These products may be suitable for many homes, rental properties, small accommodation sites, offices, cabins, HMOs, and selected commercial settings, depending on the door type, usage, installation, and compliance requirements.

    B. Partner-Delivered Commercial Systems

    Where a project requires a higher level of commercial specification, certification, installation, commissioning, or staff training, ArdanShield may provide a solution through an approved specialist partner.

    In these projects, the specialist partner may supply, install, commission, configure, and train users on the system, subject to their own terms, limitations, certifications, and technical requirements.

    3. Product Supply and Compliance

    Where ArdanShield supplies products directly, ArdanShield acts as the supplier and distributor, not the original manufacturer.

    Unless expressly confirmed in writing with supporting certification, ArdanShield does not represent that any supplied product is certified or suitable for:

    • Fire-rated doors
    • Emergency escape routes
    • Mandatory life-safety applications
    • Regulated commercial environments
    • Insurance-specific access control requirements
    • Building control approval

    The client is responsible for ensuring that any supplied product is suitable for their intended use, property type, door type, fire strategy, insurance position, and regulatory obligations before installation.

    4. Partner-Delivered Commercial Systems

    For projects requiring a certified or commercially specified access control system, ArdanShield may work with approved third-party manufacturers, suppliers, installers, commissioning engineers, or specialist access control companies.

    Where a partner-delivered system is selected, the third-party provider may be responsible for the relevant system specification, installation, commissioning, training, technical setup, and certification associated with their products and services.

    ArdanShield may coordinate the project commercially and administratively, but this does not make ArdanShield the manufacturer, installer, commissioning engineer, or certifying body.

    5. Quotations and Pricing

    All pricing is provided as a commercial project solution and may include product sourcing, supplier coordination, project administration, procurement handling, partner liaison, commercial margin, and project management.

    Unless specifically stated otherwise, pricing does not represent a breakdown of individual component costs, third-party supplier pricing, manufacturer pricing, labour rates, installer costs, or wholesale rates.

    ArdanShield reserves the right to quote projects as complete supply or system solutions rather than itemised supplier-cost breakdowns.

    6. Payment Terms

    Payment terms will be confirmed within each individual quotation, proposal, invoice, order confirmation, or project agreement.

    Because third-party suppliers, manufacturers, installers, and commissioning partners may operate under different payment structures, ArdanShield reserves the right to align project payment milestones with supplier requirements, procurement obligations, delivery timelines, and project risk.

    Payments may include deposits, staged payments, procurement payments, pre-installation payments, balance payments, or other agreed commercial milestones.

    7. Procurement and Project Commencement

    Product procurement, supplier engagement, project scheduling, manufacturing allocation, installer booking, commissioning arrangements, and any associated third-party commitments will not commence until the agreed payment has been received in full.

    Any lead times, delivery dates, installation dates, or commissioning dates begin only once the relevant agreed payment has cleared and all required project information has been provided.

    8. Deposits and Non-Refundable Commitments

    Where ArdanShield is required to commit funds, place orders, reserve installation capacity, secure supplier allocation, or engage third-party partners, payments may become non-refundable once committed.

    This may include hardware orders, project mobilisation, partner booking, product configuration, bespoke products, specialist commercial systems, manufacturer commitments, and supplier-led project costs.

    9. Third-Party Terms and Limitations

    Third-party suppliers, manufacturers, installers, commissioning engineers, software providers, and access control specialists may apply their own terms, payment requirements, installation conditions, warranty limitations, technical requirements, and service conditions.

    Where these apply, the client acknowledges that project delivery may be subject to those third-party requirements.

    ArdanShield shall not be liable for restrictions, delays, additional costs, system requirements, technical limitations, or conditions imposed by third-party providers where these are outside ArdanShield’s direct control.

    10. Installation, Commissioning and Training

    Where installation, commissioning, staff training, or technical handover is included, these services may be carried out by independent third-party specialists.

    Responsibility for installation workmanship, commissioning procedures, technical setup, staff training, and system handover lies with the appointed third-party provider unless expressly agreed otherwise in writing.

    ArdanShield may coordinate communication and project flow, but this does not make ArdanShield the installer, commissioning engineer, electrical contractor, or manufacturer.

    11. Site Readiness and Client Responsibilities

    The client is responsible for ensuring the site is ready for delivery, installation, commissioning, survey visits, or technical review. This may include, where applicable:

    • Doors being installed, accessible, correctly hung, and suitable for the proposed hardware
    • Clear and safe access to all work areas
    • Removal or protection of furniture, fixtures, fittings, flooring, carpets, and soft furnishings
    • Availability of parking, loading access, keys, access permissions, and site contacts
    • Required electrical supplies, fused spurs, sockets, network points, PoE connections, or data cabling
    • Suitable internet, network, computer, or software infrastructure where required
    • Fire alarm interfaces, lift interfaces, containment, first-fix cabling, or other preparatory works where required
    • Coordination with other trades, contractors, landlords, building managers, or site representatives

    Any delay, failed visit, additional labour, additional attendance, lost time, return visit, or revised work caused by site readiness issues may result in additional charges.

    12. Surveys and Technical Suitability

    Quotations may be subject to survey, technical review, door assessment, site assessment, network review, or third-party partner approval.

    If a site survey or technical review identifies additional requirements, unsuitable doors, missing infrastructure, compatibility issues, compliance concerns, or changes to the original scope, ArdanShield reserves the right to revise pricing, timelines, products, or project recommendations.

    13. Variations and Scope Changes

    Any change to quantities, door types, access points, software requirements, integrations, credentials, finishes, handles, installation scope, training scope, or technical requirements may result in revised pricing and timelines.

    All variations must be agreed in writing before additional work, procurement, or coordination takes place.

    14. Delivery, Lead Times and Scheduling

    Delivery dates, lead times, installation dates, commissioning dates, and project timelines are provided in good faith and may be affected by supplier availability, manufacturer lead times, shipping, customs, installer availability, site readiness, payment timing, technical approvals, or factors outside ArdanShield’s control.

    ArdanShield will make reasonable efforts to coordinate the project professionally, but shall not be liable for delays caused by third-party suppliers, manufacturers, installers, couriers, site conditions, client delays, or other external factors.

    15. Exclusions

    Unless expressly included in writing, project pricing does not include:

    • Electrical works
    • Network cabling or IT infrastructure upgrades
    • Building works, joinery, door replacement, glazing, or structural alterations
    • Fire alarm interfaces or life safety system works
    • Lift integration works or third-party lift contractor charges
    • Removal, disposal, or reinstatement of furniture, flooring, carpets, fixtures, or existing systems
    • Out-of-hours work, weekend work, or accelerated installation schedules
    • Ongoing software subscriptions, licences, hosting fees, API fees, integrations, or maintenance unless stated
    • Ongoing staff training after handover unless agreed

    16. Compliance and Client Obligations

    The client is responsible for ensuring that any system or product installed at their property complies with all applicable building, fire safety, insurance, landlord, licensing, planning, workplace, and regulatory requirements.

    Where specialist compliance is required, the client should obtain advice from suitably qualified professionals, including fire safety advisers, electricians, building control, insurers, landlords, access control consultants, or other relevant specialists.

    ArdanShield does not accept responsibility for site-specific regulatory compliance unless this has been expressly agreed in writing as part of the project scope.

    17. Liability

    ArdanShield’s liability is limited to the products and services expressly agreed in writing between ArdanShield and the client.

    ArdanShield shall not be liable for third-party workmanship, manufacturer defects, installer errors, commissioning issues, network failures, software platform limitations, client misuse, site readiness failures, electrical faults, unsuitable doors, unauthorised modifications, non-compliant installation by others, or issues caused by other trades or contractors.

    Nothing in these terms limits liability where it cannot legally be limited under applicable law.

    18. Warranty and Support

    Product warranties, installation warranties, software warranties, and service warranties may be provided by the relevant manufacturer, supplier, installer, or third-party partner.

    ArdanShield will assist with reasonable communication and coordination where appropriate, but warranty responsibility may remain with the original manufacturer, supplier, installer, or service provider.

    Warranty coverage does not normally include misuse, wear and tear, high-traffic deterioration, accidental damage, poor maintenance, incorrect installation by others, unsuitable doors, environmental damage, software misuse, battery issues, or unauthorised changes unless expressly covered by the relevant warranty provider.

    19. Software, Platforms and Integrations

    Where a project includes software, access control platforms, mobile applications, cloud systems, PMS integrations, API access, remote management, licence-based features, or third-party digital services, these may be subject to separate provider terms, fees, restrictions, availability, updates, and technical limitations.

    ArdanShield does not guarantee the ongoing availability, pricing, compatibility, functionality, or performance of third-party software platforms or integrations unless expressly agreed in writing.

    20. Intellectual Property and Proposal Use

    All proposals, specifications, recommendations, layouts, system designs, pricing structures, project documentation, and commercial information provided by ArdanShield are issued solely for the purpose of evaluating or delivering the proposed project.

    These materials may not be copied, shared, replicated, tendered, reverse-engineered, or used to procure directly from third-party suppliers or alternative providers without prior written consent from ArdanShield.

    This clause protects ArdanShield’s proposal, coordination work, specification process, and commercial structure. It does not claim ownership over third-party manufacturer products, trademarks, platforms, or proprietary systems.

    21. Confidentiality and Non-Circumvention

    Project pricing, supplier arrangements, commercial structure, partner details, technical recommendations, and proposal documentation are confidential between ArdanShield and the client unless agreed otherwise in writing.

    The client must not use ArdanShield’s proposal, specification, supplier introductions, pricing structure, or project information to bypass ArdanShield, obtain direct supplier pricing, or replicate the proposed solution through another provider.

    22. Acceptance of Terms

    By accepting a quotation, paying an invoice, confirming an order, signing a proposal, approving a project, or instructing ArdanShield to proceed, the client confirms acceptance of these Commercial Terms.

    These terms apply alongside any quotation, proposal, invoice, order confirmation, signed agreement, or written project correspondence issued by ArdanShield.

    Important: These Commercial Terms are designed for ArdanShield’s commercial smart lock, access control, supply-only, and partner-delivered projects. For larger or more complex projects, ArdanShield may issue additional project-specific terms, agreements, schedules, payment conditions, or partner requirements.
